Conditions générales d’utilisation des services
1. Objet
La société Cro-magnon exploite une plateforme en ligne depuis le site internet accessible à l’adresse suivante : www.cro-magnon.org (ci-après la « Plateforme »), à travers laquelle elle met à disposition d’usagers professionnels ou particuliers (ci-après les « Usagers ») une librairie de connaissances médicales constituée des contenus réalisés et/ou compilés par des professionnels du secteur médical et mis en ligne sur la Plateforme par ces derniers (ci-après les « Publieurs »).
Les Usagers et les Publieurs sont ci-après désignés ensemble ou individuellement un « Utilisateur ». La Société et l’Utilisateur sont ci-après désignés ensemble ou individuellement une « Partie ».
Les présentes conditions générales (ci-après les « Conditions Générales ») ont pour objet de fixer les modalités et conditions de fourniture aux Utilisateurs des services d’accès à la Plateforme, de consultation de la librairie et/ou de publication de contenus sur ladite Plateforme (ci-après les « Services »), ainsi que de définir les droits et obligations des Parties dans ce cadre.
Elles expriment l’intégralité de l’accord des Parties et annulent et remplacent tout accord, lettre, offre ou autre document écrit ou oral antérieur ayant le même objet. Elles sont accessibles et imprimables à tout moment par un lien direct en page d’accueil de la Plateforme.
2. Exploitant de la Plateforme
La Plateforme et les Services sont exploités par la société Cromagnon, société par actions simplifiée, inscrite au Registre du commerce et des sociétés de Toulouse sous le numéro B879 479 806, dont le siège social est situé 16B rue Mespoul – 31 400 Toulouse (ci-après la « Société »).

3. Acceptation des Conditions Générales
L’Utilisateur déclare en s’inscrivant aux Services dans les conditions prévues ci-après à l’article « Accès aux Services » ou en utilisant les Services mis à sa disposition sur la Plateforme avoir pris connaissance des présentes Conditions Générales et les accepter expressément.
Cette acceptation, ne peut être que pleine et entière, sans modification de quelque nature que ce soit. Toute adhésion sous réserve est considérée comme nulle et non avenue. L’Utilisateur qui n’accepte pas d’être lié par les présentes Conditions Générales ne doit pas utiliser les Services, ni accéder à la Plateforme.
4. Accès aux Services
La Plateforme et les Services sont accessibles à toute personne physique disposant de la pleine capacité juridique pour s’engager au titre des présentes Conditions Générales. L’Utilisateur qui ne dispose pas de la pleine capacité juridique ne peut accéder à la Plateforme et aux Services qu’avec l’accord exprès de son représentant légal.
L’accès aux Services est réservé :
- Pour les Services réservés aux Usagers : à toute personne physique ou morale, dans le cadre de son activité professionnelle, dans le secteur de la santé ou non, ou à titre privé en dehors de toute activité professionnelle. L’Usager reconnaît et accepte cependant que l’accès à certains contenus pourra être réservé aux seuls Usagers professionnels exerçant dans le secteur de la santé, dans les conditions détaillées ci-après.
- Pour les Services réservés aux Publieurs : aux seules personnes physiques exerçant une activité professionnelle dans le secteur médical, entendu comme l’ensemble des activités exercées dans les structures hospitalières publiques et privées, les cabinets de professionnels médicaux, dentaires et paramédicaux, les laboratoires d’analyses médicales.
5. Inscription sur la Plateforme
Tout Usager accède librement aux Services qui lui sont réservés directement sur la Plateforme, sans restriction, sous les réserves ci-après, sans qu’il soit nécessaire d’ouvrir un compte personnel sur ladite Plateforme. L’Usager accède de manière anonyme aux Services, sauf dans l’hypothèse où il est également Publieur. Dans ce cas de figure, il peut également se connecter à son Compte pour accéder aux Services réservés à l’Usager.
Tout Publieur qui souhaite publier des contenus sur la Plateforme pour les mettre à disposition des Usagers est tenu d’ouvrir un compte auprès de la Société sur la Plateforme selon la procédure décrite ci-dessous pour bénéficier des Services (ci-après le « Compte »).
Ainsi, pour accéder aux Services qui lui sont dédiés, le Publieur est tenu de :
- remplir un premier formulaire d’inscription en y complétant toutes les informations requises, notamment son nom et son prénom, sa profession et son adresse email ;
- télécharger l’ensemble des justificatifs demandés par la Société lui permettant de vérifier la qualité de professionnel du secteur de la santé ;
- choisir un mot de passe. Une fois son Compte validé, le Publieur a la possibilité de changer son mot de passe à tout moment, dans l’onglet « Mot de passe » de son Compte. Il est recommandé de changer régulièrement de mot de passe. Le Publieur reconnaît et accepte que l’adresse email renseignée sur le formulaire d’inscription constitue son identifiant de connexion ;
- cocher sur la page d’inscription la case « j’ai lu et j’accepte les conditions générales d’utilisation des services ».
- cocher sur la page d’inscription la case « j’accepte la collecte de mes données ».
La Société lui adresse un email contenant un lien internet d’activation de son Compte sur lequel le Publieur doit impérativement cliquer pour confirmer la création du Compte. A défaut, il reconnaît et accepte qu’il ne pourra pas accéder aux Services.
Le Publieur reconnaît et accepte que la validation définitive de son Compte est subordonnée à la réception de l’intégralité des justificatifs demandés et la vérification par la Société de la qualité de professionnel du secteur de la santé et de la véracité des documents transmis. La Société se réserve notamment la possibilité, à sa libre discrétion, de demander tout document complémentaire avant de valider l’ouverture du Compte.
La Société adresse dans les jours qui viennent au Publieur un email lui confirmant ou non de la validation de son Compte et de son activation. Le Publieur reconnaît et accepte que la Société se réserve la possibilité de refuser l’ouverture du Compte, pour tout motif, et notamment en cas de doute sur la validité des documents transmis.
La Société se réserve la faculté, à tout moment après l’ouverture du Compte, de mettre en œuvre tout processus de vérification qu’elle jugera utile, portant notamment sur l’email du Publieur, son identité, ses coordonnées.
Tout Publieur garantit la Société que les informations renseignées sur le formulaire d’inscription sont exactes et qu’elles ne sont entachées d’aucun caractère trompeur. Le Publieur s’engage notamment à fournir une adresse email valide et des justificatifs non falsifiés. Le Publieur s’engage à informer la Société sans délai de tout changement dans lesdites informations à l’adresse de contact indiquée à l’article « Exploitant de la Plateforme » des présentes.
Le Publieur reconnaît et accepte que les informations saisies aux fins de création ou de mise à jour de son Compte valent preuve de son identité.
6. Usage strictement personnel
Un seul Compte pourra être créé par Publieur. Est considérée comme étant l’utilisateur des Services la personne dont les renseignements personnels correspondent à ceux qui ont été fournis sur le formulaire d’inscription, à l’exclusion de tout autre tiers.
Le Publieur s’engage par conséquent à utiliser les Services personnellement, et à ne permettre à aucun tiers de les utiliser à sa place ou pour son propre compte, y compris à un autre Utilisateur des Services, sauf à en supporter l’entière responsabilité. Lorsque le Compte est ouvert pour le compte d’une personne morale, celui-ci ne peut être opéré que par la personne dont les renseignements personnels correspondent à ceux fournis lors de l’inscription aux Services et/ou par toute personne autorisée expressément par le Publieur à partir de ses identifiants de connexion, ce que l’Utilisateur reconnaît et accepte expressément.
Le Publieur est par ailleurs responsable du maintien de la confidentialité de ses identifiant et mot de passe et reconnaît expressément que toute utilisation des Services depuis son Compte sera réputée avoir été effectuée par lui-même.
Dans l’hypothèse où le Publieur constaterait que son Compte est ou a été utilisé à son insu, il s’engage à en avertir la Société dans les plus brefs délais, à l’adresse indiquée à l’article « Exploitant de la Plateforme ».
7. Usage non commercial
L’Utilisateur s’interdit de monnayer, vendre, concéder, échanger et plus généralement, négocier tout ou partie de l’accès aux Services, quels qu’ils soient, aux serveurs de la Plateforme, ainsi qu’aux informations et/ou textes, images, et autres contenus exploités par la Société et/ou tout autre Utilisateur sur la Plateforme dans le cadre de l’utilisation des Services.
8. Durée
Les présentes Conditions Générales s’appliquent pendant toute la durée d’utilisation des Services par l’Utilisateur.
9. Description des Services
L’Utilisateur a accès aux Services qui suivent sous une forme et selon les moyens techniques que la Société juge les plus appropriés.
9.1. Accès à une librairie de connaissances médicales
La Société met à disposition des Usagers une librairie de connaissances médicales accessible librement sur la Plateforme (ci-après la « Librairie »). La Librairie est composée de contenus scientifiques sur quelques thématiques que ce soit dans le secteur médical, sans limitation d’aucune sorte, sous quelques formes que ce soit (fichier texte en.pdf ou .txt ou .word ou .ppt notamment, vidéo, photographique, animation, lien hypertexte, etc) et quelle que soit la date de première publication dudit contenu (ci-après les « Contenus »).
Les Contenus sont classés notamment par thématiques, par auteur, par année et/ou par tout autre critère de classement que la Société juge pertinent, à son libre choix. L’Usager a la possibilité de recherche un Contenu directement par mot clé ou par critère de classement dans le moteur de recherche mis à sa disposition sur la Plateforme. Il accède au Contenu sélectionné en cliquant sur le nom du Contenu.
L’Usager accède à l’intégralité des Contenus mis à disposition dans la Librairie, sous réserve de leur validation préalable par un modérateur dans les conditions détaillées ci-après. Néanmoins, l’Usager reconnaît et accepte que le Publieur reste libre de réserver l’accès à ses Contenus à certaines catégories d’Usager et de subordonner ledit accès à la déclaration de la qualité de l’Usager.
L’Usager a la possibilité de visualiser le Contenu directement sur la Plateforme. Il ne peut pas télécharger lesdits Contenus, ni les extraire de la Plateforme d’aucune manière.
L’Usager reconnaît être informé que les Contenus sont mis à sa disposition sur la Plateforme par les Publieurs, librement, dans les conditions détaillées ci-après. L’Usager reconnaît que la Société ne contrôle pas la qualité scientifique des Contenus, ni leur pertinence sur le plan médical et/ou l’adéquation aux besoins de l’Usager. Le rôle de la Société se limite à la mise à disposition technique desdits Contenus dans la Librairie.
L’Usager reconnaît et accepte en outre que les Contenus sont mis à sa disposition à des fins d’information générale et d’augmentation de la connaissance et ne sauraient se substituer à une consultation médicale par un professionnel de santé. Il reconnaît enfin que les Contenus présentent une opinion ou une doctrine propre à leur auteur et ne saurait engager d’aucune manière la Société. L’Usager reconnaît qu’il lui appartient de faire toute interprétation et/ou utilisation des informations exposées dans ledit Contenu sans qu’il puisse engager la responsabilité de la Société.
L’Usager reconnaît et accepte que la Librairie n’a pas vocation à présenter l’ensemble des sources existantes dans le domaine médical et ne saurait être exhaustive. La Société ne garantit notamment pas l’Usager qu’il trouvera un Contenu correspondant à son besoin et/ou ses attentes.
9.2. Publication de Contenus sur la Plateforme
Seuls les Publieurs ayant valablement ouvert un Compte sur la Plateforme ont la possibilité de publier des Contenus dans la Librairie. Un Usager ne remplissant pas les qualités requises pour être Publieur ne peut publier sur la Plateforme.
9.2.1. Nature des Contenus publiés sur la Plateforme
Le Publieur reconnaît et accepte qu’il peut publier tout type de Contenus, sous réserve qu’il traite d’une thématique en rapport avec le secteur médical, qu’il s’agisse de Contenus dont il est lui-même l’auteur ou qu’il s’agisse de Contenus de tiers.
Il s’engage à ne publier que des Contenus sur lesquels il détient valablement les droits de reproduction et de représentation par publication aux fins des présentes. Il reconnaît que les Contenus sont publiés sous sa seule responsabilité. A ce titre, il s’engage également à ne publier dans la Librairie que des Contenus dont les pratiques, données, informations, process ou tout autre élément, exposés sont conformes aux recommandations des sociétés savantes dans le domaine pertinent de la thématique traitée par ledit Contenu.
Le Publieur reconnaît que seuls les Contenus enregistrés sous l’un des formats compatibles avec la Plateforme, telle qu’indiqué dans la documentation technique de ladite Plateforme, pourront faire l’objet d’une publication dans la Librairie. Il appartient au Publieur de prendre toute mesure utile pour mettre le Contenu dans le bon format de publication, sans porter atteinte à l’intégrité ni à la qualité originelle du Contenu.
Le Publieur reconnaît que la publication d’un Contenu est soumise à une procédure de validation préalable telle que détaillée ci-après.
9.2.2. Création de groupes de travail
Les Publieurs sont regroupés en groupe de travail portant sur une thématique précise dans le secteur médical (ci-après le « Groupe de travail »). Tout Publieur peut décider de créer un Groupe de travail en utilisant la fonction « créer un groupe de travail » depuis son Compte, en détaillant les thèmes de recherche qui seront l’objet dudit Groupe de travail. La création d’un Groupe de travail est soumise à la validation préalable de la Société et/ou à tout tiers désigné par cette dernière pour y procéder. La Société apprécie la pertinence de l’objet du Groupe de travail et la légitimité professionnelle du Publieur qui sollicite la création du Groupe de travail. Elle reste libre de valider ou non la création dudit Groupe de travail.
Si la demande de création est validée, le Publieur à l’origine de la demande est notifié de la création du Groupe de travail par tout moyen jugé utile. La Société met à sa disposition un espace dédié dans la Librairie pour la publication de Contenus en lien avec l’objet du Groupe de travail, et dans lequel tous les Contenus publiés par les membres du Groupe de travail sont regroupés et listés.
Le Publieur qui crée un Groupe de travail est nommé administrateur du Groupe de travail (ci-après « l’Administrateur »). L’Administrateur a la possibilité de nommer un ou plusieurs autres Administrateurs à son libre choix.
Le Groupe de travail s’organise autour de trois catégories de membres, ayant des pouvoirs d’intervention différents plus ou moins étendus. Les catégories sont :
- Les Administrateurs, qui ont les pouvoirs les plus étendus et ont pour mission de :
- Définir les thématiques de réflexion, les types de Contenus, le genre de Contenus publiables dans le cadre du Groupe de travail ;
- Accepter l’inscription d’un Publieur dans le Groupe de travail et/ou désinscrire un Publieur d’un Groupe de travail ;
- Désigner les membres du Groupe de travail qui assume le rôle de modérateur des Contenus soumis à publication dans le Groupe de travail (ci-après le « Modérateur »).
- Les Modérateurs qui assument les pouvoirs suivants :
- Valider les Contenus avant publication dans la Librairie. Il est expressément entendu que la validation des Contenus se limite à une modération formelle technique portant sur la vérification que lesdits Contenus entrent dans les thématiques traitées par le Groupe de travail, à la correction du titre du Contenu, des mots clé, des corrections de forme. Le Modérateur ne vérifie pas que le Publieur a bien obtenu les droits de publication desdits Contenus ni la véracité scientifique des Contenus.
- Signaler les comportements jugés inadaptés d’un Publieur et supprimer des Contenus.
- Les Publieurs acceptés qui ont seulement la possibilité de proposer des Contenus à la publication.
9.2.3. Procédure de publication d’un Contenu
Le Publieur reconnaît qu’il doit adhérer à un Groupe de travail ou créer un Groupe de travail pour pouvoir publier un Contenu dans la Librairie et le rendre accessible aux Usagers. Un Publieur qui n’appartient à aucun Groupe de travail pourra seulement publier un Contenu dans la Librairie avec la mention « publication non modérée ». Le Contenu ne sera rattaché à aucun Groupe de travail et sera consultable uniquement par les autres Publieurs dans la Librairie, à l’exclusion de tous les Usagers non-Publieurs.
Le Publieur reconnaît et accepte que son adhésion à un Groupe de travail est validée par l’un des Administrateurs dudit Groupe de travail, à son libre choix, au regard de ses qualités professionnelles objectives (titre, spécialité, certificat).
Une fois adhérent d’un Groupe de travail, le Publieur reconnaît et accepte qu’il ne peut proposer à la publication que des Contenus en lien avec l’objet du Groupe de travail. Le Publieur doit adhérer à autant de Groupes de travail que nécessaires en fonction des thématiques qu’il souhaite traiter à travers les Contenus qu’il souhaite publier.
Le Contenu est soumis aux Modérateurs du Groupe de travail préalablement à sa publication dans la Librairie. Le Publieur reconnaît et accepte que le Modérateur reste libre de refuser la publication du Contenu pour tout motif en lien avec sa mission de modération technique du Contenu. Dans une telle hypothèse, le Publieur pourra publier son Contenu avec la mention « publication non-modérée » ou proposer la publication dans un autre Groupe de travail. Le Publieur accepte de procéder à toute modification sollicitée par le Modérateur aux fins de publication.
Le Publieur reconnaît et accepte que les Contenus dont la publication aura été validée, seront publiés dans la Librairie pendant toute la durée prévue dans la licence d’utilisation des Contenus ci-après. Cependant, le Publieur reconnaît et accepte que les Contenus pourront être supprimés de la Librairie par un Médiateur du Groupe de travail, à tout moment.
9.3. Assistance technique
La Société propose à tout Utilisateur un support technique accessible par email à l’adresse suivante : supp.cromagnon@gmail.com.
9.4. Autres Services
La Société se réserve la faculté de proposer tout autre Service, sous une forme et selon les fonctionnalités et moyens techniques qu’elle estimera les plus appropriés pour rendre lesdits Services.
La Société se réserve notamment la possibilité de proposer à l’Utilisateur tout autre service payant, à sa libre convenance.
10. Conditions financières
Les Services sont fournis à tout Utilisateur à titre gratuit.
11. Hébergement
La Société s’engage à assurer, dans les termes d’une obligation de moyens, l’hébergement des Comptes et des Contenus conformément aux usages de la profession et à l’état de l’art, sur ses propres serveurs ou par un prestataire d’hébergement professionnel, exerçant son activité conformément aux usages de la profession et à l’état de l’art.
Dans ce cadre, la Société s’engage à fournir à l’Utilisateur des capacités de stockage et de traitement suffisantes dans le cadre des Services, conformément aux usages de la profession et à l’état de l’art.
La Société s’engage à mettre en œuvre l’ensemble des moyens techniques, conformes à l’état de l’art, nécessaires pour assurer la sécurité et l’accès aux Services, portant sur la protection et la surveillance des infrastructures, le contrôle de l’accès physique et/ou immatériel auxdites infrastructures, ainsi que sur la mise en œuvre des mesures de détection, de prévention et de récupération pour protéger les serveurs d’actes malveillants.
La Société s’engage également à prendre toutes précautions utiles, au regard de la nature des données et des risques présentés par les traitements automatisés de données mis en œuvre pour les besoins des Services, pour préserver la sécurité des données, et notamment empêcher qu’elles soient déformées, endommagées ou que des tiers non autorisés y aient accès.
12. Garantie de niveau de services
La Société s’engage à assurer la permanence, la continuité et la qualité de l’accès aux Services pendant toute la durée de l’ouverture du Compte.
A ce titre, la Société fera ses meilleurs efforts pour maintenir un accès à la Plateforme 24h/24H, 7j/7j et garantir la disponibilité des Services à 97% sauf cas de force majeure.
En outre, eu égard à la complexité d’internet, l’inégalité des capacités des différents sous-réseaux, l’afflux à certaines heures, aux différents goulots d’étranglement sur lesquels la Société n’a aucune maîtrise, la responsabilité de celle-ci sera limitée au fonctionnement de ses serveurs, dont les limites extérieures sont constituées par les points de raccordement.
La Société ne saurait être tenue pour responsable (i) des vitesses d’accès à ses serveurs, (ii) des ralentissements externes à ses serveurs, et (iii) des mauvaises transmissions dues à une défaillance ou à un dysfonctionnement de ces réseaux.
En cas de nécessité, la Société se réserve la possibilité de limiter ou de suspendre l’accès à la Plateforme pour procéder à toute opération de maintenance et/ou d’amélioration. Dans cette hypothèse, la Société s’engage à informer à l’avance l’Utilisateur par tout moyen utile de ces opérations de maintenance et/ou d’amélioration. Dans cette hypothèse, la Société s’engage à informer l’Utilisateur au minimum 24h à l’avance, par tous moyens utiles et notamment par message informatif général sur la page d’accueil de la Plateforme, de ces opérations de maintenance. La Société fera ses meilleurs efforts afin que lesdites opérations de maintenance n’excèdent pas 8h et s’effectuent en dehors des heures ouvrées, soit du lundi au vendredi de 8h à 19h, heure de Paris, France.
Dans le cadre de ces opérations de maintenance et/ou d’évolution, la Société s’engage à faire ses meilleurs efforts pour effectuer les sauvegardes des contenus stockés sur le Compte des Utilisateurs.
L’Utilisateur reconnaît et accepte que la présente garantie de niveau de services ne couvre pas toute panne ou interruption des Services intervenant du fait des opérateurs télécoms ou fournisseurs d’accès à internet et au web mobile.
En tout état de cause, il est expressément convenu entre les Parties que la violation de tout engagement prévu au présent article ne pourra en aucun cas être sanctionnée par la rupture des Conditions Générales et sa responsabilité sera limitée dans les conditions prévues ci-après à l’article « Responsabilité ».
13. Propriété intellectuelle
13.1. Principes de propriété intellectuelle
Les systèmes, logiciels, plateforme, API, composants logiciels, structures, infrastructures, bases de données, notamment la Librairie, données, codes, algorithmes, et contenus de toute nature (texte, image, logo, marque, données, etc.) édités et exploités par la Société dans le cadre des Services, sont la propriété pleine et entière de la Société, qu’ils soient ou non protégés par un titre de propriété intellectuelle.
De la même manière, les Contenus publiés par un Publieur et mis à disposition des Usagers dans la Librairie, restent la pleine propriété de leur auteur. Toute revendication relative à un Contenu publié par un Publieur sera exclusivement adressée audit Publieur.
Les présentes Conditions Générales ne confèrent aux Utilisateurs, aucun droit de propriété de quelque nature que ce soit, et notamment de propriété intellectuelle ou industrielle, sur la Plateforme, la Librairie, les Services et/ou sur les Contenus.
Tout Utilisateur ne dispose que d’une simple licence d’utilisation de la Plateforme et de la Librairie, ainsi que des Contenus, dans les conditions détaillées ci-après.
L’Utilisateur s’engage à ne commettre aucun acte qui pourrait affecter les droits de propriété et notamment de propriété intellectuelle de la Société sur la Plateforme, la Librairie et les Services ainsi que les droits de propriété, notamment de propriété intellectuelle d’un Publieur ou de l’auteur d’un Contenu sur les Contenus, en tout ou partie, que ce soit par reproduction, par représentation ou par adaptation, modification, transformation. Toute utilisation et/ou accès non autorisé par la Société et/ou par un Publieur au titre des présentes et/ou non conformes aux dispositions du Code de la propriété intellectuelle est illicite et donnera lieu à des poursuites judiciaires notamment sur le terrain de la contrefaçon conformément aux dispositions de l’article L.335-3 du Code de la propriété intellectuelle. Notamment, tous désassemblages, décompilations, décryptages, extractions, réutilisations, copies des éléments visés aux présentes sont strictement interdits.
13.2. Licence d’utilisation de la Librairie
La Société accorde à l’Utilisateur, pour toute la durée des présentes et pour le monde entier, le droit non exclusif, personnel et non transférable, d’utiliser la Plateforme, la Librairie et les Services, dans leur version existante au jour de la signature des présentes Conditions générales, ainsi que dans leurs éventuelles versions à venir, ainsi que sur leur documentation technique, aux seules fins des Services, dans les conditions des présentes.
La Société autorise notamment l’Utilisateur à consulter les Contenus directement sur la Plateforme, sans que l’Utilisateur ne puisse extraire, par transfert permanent ou temporaire, et/ou réutiliser lesdits Contenus par tout autre moyen, pour quelque motif que ce soit.
L’Utilisateur s’interdit expressément toute autre utilisation de la Plateforme, de la Librairie, des Contenus et des Services, et notamment, il s’interdit de reproduire, d’arranger, d’adapter la Plateforme, la Librairie, les Contenus et/ou les Services, de les mettre à disposition de tiers, de créer toute œuvre dérivée de tout ou partie de la Plateforme et/ou de la Librairie et/ou ses Services, de les commercialiser ou de les proposer à la location, sous la réserve ci-après.
13.3. Licence d’utilisation des Contenus
Le Publieur accorde à la Société, pour toute la durée de protection par le droit d’auteur et pour le monde entier, à titre gratuit, le droit non exclusif, personnel et non transférable, d’utiliser les Contenus, aux seules fins d’insertion et de publication dans le Libraire et de la fourniture des Services et notamment de la mise à disposition des Usagers sur la Plateforme. La Société s’interdit de créer toute œuvre dérivée de tout ou partie des Contenus, de les commercialiser ou de les proposer à la location.
Le Publieur concède expressément à la Société le droit d’accorder des licences d’utilisation des Contenus qu’il a publiés sur la Plateforme, pendant toute la durée de mise à disposition desdits Contenus sur la Plateforme, pour le monde entier, aux Usagers de la Plateforme, aux seules fins de visualisation sur la Plateforme.
A cet égard, l’Usager reconnaît que la Société lui accord un simple droit de visualisation des Contenus, pendant la durée de leur mise à disposition, exclusivement sur la Plateforme, à l’exclusion de toute autre utilisation.
14. Garantie d’éviction
La Société garantit l’Utilisateur de la jouissance entière et paisible des droits concédés en licence sur les Services contre tous troubles, actions, revendications ou évictions quelconques. Elle garantit ainsi notamment l’Utilisateur (i) qu’elle dispose de tous les droits et autorisations nécessaires pour consentir la licence prévue aux présentes et que les Services de la Société ne contiennent rien qui puissent tomber sous le coup des lois et règlements relatifs notamment à la contrefaçon, la concurrence déloyale, la vie privée, le droit à l’image, les droits de la personnalité et plus généralement contrevenir aux droits des tiers et, (ii) qu’elle n’a pas consentie et ne consentira pas à un tiers aucune cession ou licence d’utilisation sur les Services susceptibles d’empêcher ou de gêner l’exercice des droits détenus par le Client en licence sur lesdits Services.
La Société garantit l’Utilisateur contre toutes plaintes, réclamations et/ou revendications quelconques de la part d’un tiers que l’Utilisateur pourrait subir du fait de la violation, par la Société, des garanties ci-dessus. Elle s’engage à indemniser l’Utilisateur de tout préjudice qu’il subirait et à lui payer tous les frais, indemnités, charges et/ou condamnations qu’il pourrait avoir à supporter de ce fait.
L’Utilisateur s’engage en contrepartie à notifier à la Société par lettre recommandée avec accusé de réception dans les meilleurs délais à compter de leur réception, toute mise en demeure ou assignation ou requête reçue d’un tiers. Les Parties conviennent néanmoins que, sauf renonciation expresse, la Société prendra le contrôle de la défense, ainsi que toutes négociations en vue d’une transaction.
L’Utilisateur reconnaît et accepte que la présente garantie ne s’applique pas lorsque la réclamation du tiers découle, même partiellement de toute utilisation des Services non-conforme aux dispositions de la licence telles que prévues aux présentes.
Dans les mêmes termes, le Publieur garantit la Société et les Modérateurs et Administrateurs des différents Groupes de travail dont il est membre qu’il dispose de tous les droits et autorisations de quelque nature que ce soit nécessaires pour publier les Contenus dans la Librairie et en donner l’accès aux Usagers pendant toute la durée de protection par le droit d’auteur. Le Publieur garantit la Société et les Modérateurs et Administrateurs des différents Groupes de travail dont il est membre que les Contenus ne contiennent rien qui puissent tomber sous le coup des lois et règlements relatifs notamment à la contrefaçon, la concurrence déloyale, la vie privée, le droit à l’image, les droits de la personnalité et plus généralement contrevenir aux droits des tiers.
La Société et les Modérateurs et Administrateurs des différents Groupes de travail dont il est membre ne pourront en aucun cas être tenu pour responsables des conséquences de toute violation de cette clause.
Le Publieur garantit La Société et les Modérateurs et Administrateurs des différents Groupes de travail dont il est membre contre toutes plaintes, réclamations et/ou revendications quelconques de la part d’un tiers que la Société et/ou les Modérateurs et/ou Administrateurs des différents Groupes de travail dont il est membre pourraient subir du fait de la violation, par le Publieur, des garanties ci-dessus. Il s’engage à indemniser la Société et/ou les Modérateurs et/ou Administrateurs des différents Groupes de travail dont il est membre de tout préjudice qu’ils subiraient et à leur payer tous les frais, indemnités, charges et/ou condamnations qu’ils pourraient avoir à supporter de ce fait.
15. Obligations de l’Utilisateur
Sans préjudice des autres obligations prévues aux présentes, l’Utilisateur s’engage à respecter les obligations qui suivent.
(i) L’Utilisateur s’engage, dans son usage des Services, à respecter les lois et règlements en vigueur et à ne pas porter atteinte aux droits de tiers ou à l’ordre public. Notamment, il s’interdit d’utiliser les Services :
- pour toute activité illégale, frauduleuse ou portant atteinte aux droits ou à la sécurité de tiers, y compris le développement de toute application violant les droits d’un tiers ou toute autre loi ou réglementation applicable ;
- pour le spamming ou toute autre publicité non-sollicitée ;
- pour transmettre à la Société des informations ou contenus qui ne peuvent être communiquées ou traitées par la Société en raison des lois sur la protection des données à caractère personnel, du secret des affaires ou d’obligation contractuelles ou légales de confidentialité, de restrictions à l’exportation ou d’autres dispositions légales ou droits de tiers ;
- pour produire et/ou diffuser des Contenus (i) diffamatoires, injurieux, violents, racistes, xénophobes ou révisionnistes, (ii) contrefaisants, (iii) attentatoires à l’image de tiers, (iv) mensongers, trompeurs ou proposant ou promouvant des activités illicites, frauduleuses ou trompeuses, (v) des contenus nuisibles aux systèmes informatiques de tiers (tels que virus, vers, chevaux de Troie, etc), et (vi) plus généralement tout contenu susceptible de porter atteinte à l’ordre public et/ou aux droits de tiers ou d’être préjudiciable à des tiers, de quelque manière et sous quelque forme que ce soit.
A cet égard, il s’engage à disposer de tous les droits et autorisations nécessaires à la publication et/ou la réutilisation des Contenus, et notamment tous droits de propriété intellectuelle. Il s’engage à ce que lesdits Contenus soient licites et ne soient aucunement susceptibles de mettre en jeu la responsabilité civile ou pénale de la Société. - Pour aider ou inciter, sous quelque forme et de quelque manière que ce soit, à un ou plusieurs des actes et activités décrits ci-dessus.
(ii) L’Utilisateur s’engage à utiliser les Services pour les seules fins prévues aux présentes et en conformité avec les lois applicables et notamment :
- A ne pas copier et/ou détourner à ses fins ou à celles de tiers le concept, les technologies ou tout autre élément de la Plateforme.
- A ne pas utiliser les Services pour développer des Services et produits similaires à ceux développés par la Société.
- Sont également interdits :
- tous comportements de nature à interrompre, suspendre, ralentir ou empêcher la continuité des Services,
- toutes intrusions ou tentatives d’intrusions dans les systèmes de la Société,
- tous détournements des ressources système de la Plateforme,
- toutes actions de nature à imposer une charge disproportionnée sur les infrastructures de ce dernier,
- toutes atteintes aux mesures de sécurité et d’authentification,
- tous actes de nature à porter atteinte aux droits et intérêts financiers, commerciaux ou moraux de la Société, et enfin plus généralement tout manquement aux présentes Conditions Générales
(iii) L’Utilisateur reconnaît qu’il est seul responsable de son utilisation des Services. Il est notamment seul responsable du bon accomplissement de toutes les formalités notamment administratives, fiscales et/ ou sociales et de tous les paiements de cotisations, taxes ou impôts de toutes natures qui lui incombent le cas échéant en relation avec son utilisation des Services.
(iv) L’Utilisateur reconnaît avoir pris connaissance des caractéristiques et contraintes, notamment techniques, de la Plateforme et de l’ensemble des Services.
(v) L’Utilisateur s’engage à fournir à la Société tous les documents, éléments, données et informations nécessaires à la bonne exécution des Services. Plus généralement l’Utilisateur s’engage à coopérer activement avec la Société en vue de la bonne exécution des présentes et à l’informer de toutes difficultés liées à cette exécution.
(vi) L’Utilisateur est informé et accepte que la mise en œuvre des Services nécessite qu’il soit connecté à Internet et que la qualité des Services dépend directement de cette connexion, dont il est seul responsable.
(vii) L’Utilisateur reconnaît enfin que les Services lui offrent une solution supplémentaire, alternative, d’achat et de vente et que cette solution ne saurait se substituer aux autres moyens dont l’Utilisateur peut disposer par ailleurs pour atteindre le même objectif.
16. Plaintes
En cas d’acte portant préjudice à un Utilisateur commis par un autre Utilisateur dans le cadre des Services, l’Utilisateur peut transmettre une plainte à la Société par courrier postal ou par email aux coordonnées renseignées à l’article « Exploitant de la Plateforme », après avoir préalablement recherché une solution amiable.
La plainte doit impérativement comporter la date de sa notification, l’identité du plaignant (nom, prénom, profession, domicile, nationalité, date et lieu de naissance), l’identifiant de l’Utilisateur à l’origine du préjudice, la description des faits litigieux accompagné le cas échéant d’un lien vers la page web permettant d’en rapporter la preuve, ainsi que la copie de la correspondance adressée à l’auteur de l’atteinte et recherchant une solution amiable.
La Société aura la libre faculté de prendre toutes mesures appropriées, sans aucun engagement de sa part et/ou de transmettre cette plainte aux autorités compétentes.
Les Utilisateurs feront leur affaire personnelle des actions qu’ils pourraient introduire devant toute juridiction contre un autre Utilisateur en raison du préjudice subi de son fait.
17. Confidentialité
Pendant toute la durée d’ouverture du Compte et durant un délai de trois (3) ans après la fermeture dudit Compte, les Parties s’engagent à conserver strictement confidentiels l’ensemble des informations et des documents, de quelque nature que ce soit, qu’elles auraient reçus l’une de l’autre en exécution des présentes et/ou constitués en exécution des présentes.
18. Désinscription
18.1. Fermeture du Compte
Tout Utilisateur peut se désinscrire des Services à tout moment et dénoncer les présentes Conditions Générales, sans avoir à justifier de motifs, sous réserve d’adresser à la Société une notification par tout moyen jugé utile et notamment par le bouton à cet effet sur son Compte.
La désinscription est effective dans un délai maximum de quarante-huit (48) heure à compter de la demande de désinscription.
18.2. Résiliation pour manquement
En cas de manquement de l’Utilisateur à l’une quelconque de ses obligations au titre des présentes Conditions Générales, auquel il ne serait pas remédié dans un délai de trente (30) jours calendaires à compter de la réception d’une mise en demeure d’avoir à remédier audit manquement, la Société pourra, de plein droit et sans formalités judiciaires, résilier les présentes Conditions Générales et fermer son Compte.
La résiliation des présentes sera sans préjudice de tous dommages-intérêts auxquels la Société pourrait prétendre du fait du manquement de l’Utilisateur et de toute pénalité qui lui serait éventuellement due.
18.3. Conséquence de la fin des Services
L’Utilisateur reconnaît et admet que la fin des Services, pour quelque cause que ce soit, entraîne la désactivation du Compte de l’Utilisateur, qui n’y a alors plus accès. L’Utilisateur fait son affaire de récupérer les données stockées sur son Compte sur le support et sous le format de son choix, ce qu’il reconnaît et accepte.
Sauf en cas de résiliation pour manquement, l’Utilisateur pourra réactiver son Compte en se connectant avec son mot de passe par l’intermédiaire de la Plateforme, à tout moment pendant une durée de trois (3) ans à compter de la désactivation de son Compte. Au-delà de cette période de trois (3) ans, le Compte de l’Utilisateur sera définitivement fermé, les données récupérées par la Société lors de l’inscription, ainsi que les informations stockées dans l’Espace Personnel seront détruites, conformément aux dispositions de la loi n°78-17 du 6 janvier 1978 relative à l’informatique, aux fichiers et aux libertés, modifiée.
L’Utilisateur reconnaît expressément que la responsabilité de la Société ne pourra en aucun cas être recherchée pour toute perte ou altération des informations stockées sur son Compte, intervenue après la désactivation de son Compte, quel qu’en soit la cause, et notamment suite à des opérations de maintenance et/ou de mise à jour de la Plateforme.
En outre, le Publieur reconnaît et accepte que la fermeture de son Compte, pour quelque motif que ce soit, sera sans conséquence sur l’autorisation de publication des Contenus dans le Librairie concédée à la Société, qui restera en vigueur jusqu’au terme de la protection par le droit d’auteur desdits Contenus.
19. Comportements prohibés
Il est strictement interdit d’utiliser les Services aux fins suivantes :
- l’exercice d’activités illégales, frauduleuses ou portant atteinte aux droits ou à la sécurité des tiers,
- l’atteinte à l’ordre public ou la violation des lois et règlements en vigueur,
- l’intrusion dans le système informatique d’un tiers ou toute activité de nature à nuire, contrôler, interférer, ou intercepter tout ou partie du système informatique d’un tiers, en violer l’intégrité ou la sécurité,
- l’aide ou l’incitation, sous quelque forme et de quelque manière que ce soit, à un ou plusieurs des actes et activités décrits ci-dessus,
- et plus généralement toute pratique détournant les Services à des fins autres que celles pour lesquelles ils ont été conçus.
Il est strictement interdit à tout Utilisateur de copier et/ou de détourner à ses fins ou à celles de tiers le concept, les technologies ou tout autre élément de la Plateforme et notamment les Contenus.
Sont également strictement interdits : (i) tous comportements de nature à interrompre, suspendre, ralentir ou empêcher la continuité des Services, (ii) toutes intrusions ou tentatives d’intrusions dans les systèmes de la Société, (iii) tous détournements des ressources système de la Plateforme, (iv) toutes actions de nature à imposer une charge disproportionnée sur les infrastructures de ce dernier, (v) toutes atteintes aux mesures de sécurité et d’authentification, (vi) tous actes de nature à porter atteinte aux droits et intérêts financiers, commerciaux ou moraux de la Société, et enfin plus généralement (vii) tout manquement aux présentes Conditions Générales.
20. Sanction des manquements
En cas de manquement à l’une quelconque des dispositions des présentes Conditions Générales ou plus généralement, d’infraction aux lois et règlements par l’Utilisateur, la Société se réserve le droit de :
- (i) suspendre de manière temporaire ou définitive, sans délai, l’accès aux Services de l’Utilisateur auteur du manquement ou de l’infraction, ou y ayant participé, et notamment, en cas de fourniture d’informations erronées, incomplètes, mensongères ou périmées lors de l’inscription,
- (ii) supprimer tout contenu en lien avec le manquement ou l’infraction considéré(e), en totalité ou en partie,
- (iii) prendre toutes mesures appropriées et engager toute action en justice,
- (iv) avertir le cas échéant les autorités compétentes, coopérer avec elles et leur fournir toutes les informations utiles à la recherche et à la répression d’activités illégales ou illicites.
En cas de manquement de l’Utilisateur à une obligation essentielle découlant des présentes Conditions Générales, ou de violation répétée de celles-ci, la Société se réserve le droit de résilier l’accès de l’Utilisateur à tout ou partie des Services, avec effet immédiat, par email. La résiliation prend effet de plein droit à la date d’envoi, par la Société, de l’écrit adressé à l’Utilisateur en application de la présente clause. Elle entraîne automatiquement et sans mise en demeure préalable la suppression du Compte de l’Utilisateur, sans préjudice des autres conséquences éventuellement induites en application des présentes Conditions Générales.
21. Exclusion de responsabilité et de garantie de la Société
La Société s’engage à fournir les Services avec diligence et selon les règles de l’art, étant précisé qu’il pèse sur elle une obligation de moyens, à l’exclusion de toute obligation de résultat, ce que l’Utilisateur reconnaît et accepte expressément.
L’Utilisateur reconnaît que l’intervention de la Société se limite à la fourniture des Services, entendus comme la mise à disposition des Utilisateurs des outils et moyens techniques leur permettant de publier et d’accéder aux Contenus par l’intermédiaire de la Plateforme. La Société n’a pas connaissance des Contenus publiés dans la Librairie dans le cadre des présentes, sur lesquels elle n’effectue aucune modération, sélection, vérification ou contrôle d’aucune sorte et à l’égard desquels elle n’intervient qu’en tant que prestataire d’hébergement le temps nécessaire à l’exécution des Services. En conséquence, la Société ne peut être tenue pour responsable desdits Contenus.
Ainsi, l’Utilisateur reconnaît que la Société n’est redevable envers lui d’aucune garantie quant au nombre et à la diversité de Contenus mis à sa disposition dans la Librairie. En outre, la Société ne fournit aucune garantie s’agissant de la conformité des Contenus aux lois et règlements en vigueur, ou aux recommandations des sociétés savantes. La Société n’encourt donc aucune responsabilité à raison de la qualité des Contenus.
Le Publieur reconnaît et accepte qu’il publie les Contenus sous sa seule responsabilité et sous les garanties prévues aux présentes. L’Usager s’engage à agir directement et exclusivement contre le Publieur pour toute réclamation relative à un Contenu.
En outre, la Société ne garantit pas l’Utilisateur que :
- Les Services, soumis à une recherche constante pour en améliorer la performance et le progrès seront totalement exempts de vices, d’erreurs ou de défauts ;
- Les Services étant standards et nullement proposés à la seule intention de l’Utilisateur en fonction de ses propres contraintes personnelles, répondront spécifiquement aux besoins et attentes de l’Utilisateur.
Sous ces réserves, la responsabilité de la Société pourra être engagée dans les conditions de droit commun à raison des seuls dommages directs subis par l’Utilisateur, résultant d’un manquement à ses obligations contractuelles telles que définies aux présentes.
La Société ne pourra en tout état de cause être redevable envers l’Utilisateur du paiement de quelconques dommages-intérêts, de quelque nature que ce soit, directs ou indirects, matériels, financiers ou moraux, en raison de l’utilisation qu’il fait des Services et de la Plateforme.
22. Données à caractère personnel
La Société pratique une politique de protection des données personnelles dont les caractéristiques sont explicitées dans le document intitulé « Politique de confidentialité », accessible sur la page d’accueil de la Plateforme et dont l’Utilisateur est expressément invité à prendre connaissance.
La Société déclare notamment respecter toutes les obligations légales et réglementaires qui lui incombent en matière de protection des données à caractère personnel visant à garantir notamment la sécurité et la confidentialité des données collectées et traitées.
La Société n’est en aucun cas responsable de tout traitement de données à caractère personnel réalisé par un Utilisateur au titre des activités dudit Utilisateur, réalisé par l’intermédiaire de la Plateforme et auquel la Société est totalement étrangère. Il appartient à tout Utilisateur, le cas échéant, de respecter toutes les obligations règlementaires qui lui incombent à ce titre.
23. Références commerciales
La Société est seule propriétaire de ses noms, marques, logos, signes, dessins.
Tout Utilisateur s’engage à respecter les droits de propriété intellectuelle de la Société sur ses signes distinctifs et notamment, s’interdit de susciter toute analogie et/ou confusion dans l’esprit du public à quelque fin que ce soit et par quelque mode que ce soit, notamment, l’Utilisateur s’engage à ne pas :
- utiliser le nom de la Société et/ou de la Plateforme dans son nom ou dans tout autre nom commercial ou raison sociale sans limitation ;
- enregistrer ou faire enregistrer, pendant la durée et après la fin de la relation contractuelle entre les Parties, aucune marque, nom, logo, signe et dessin utilisé par la Société.
Les présentes n’emportent donc aucune cession des droits de propriété intellectuelle détenus par la Société sur ses signes distinctifs au profit de l’Utilisateur, ce que ce dernier reconnaît expressément aux termes des présentes.
24. Liens et sites tiers
La Société ne pourra en aucun cas être tenue pour responsable de la disponibilité technique de sites web exploités par des tiers (y compris ses éventuels partenaires) auxquels l’Utilisateur accéderait par l'intermédiaire de la Plateforme.
La Société n'endosse aucune responsabilité au titre des contenus, publicités, produits et/ou services disponibles sur de tels sites tiers dont il est rappelé qu’ils sont régis par leurs propres conditions d’utilisation.
La Société n'est pas non plus responsable des transactions intervenues entre l’Utilisateur et un quelconque annonceur, professionnel ou commerçant (y compris ses éventuels partenaires) vers lequel l’Utilisateur serait orienté par l'intermédiaire de la Plateforme et ne saurait en aucun cas être partie à quelques litiges éventuels que ce soit avec ces tiers concernant notamment la livraison de produits et/ou services, les garanties, déclarations et autres obligations quelconques auxquelles ces tiers sont tenus.
25. Indépendance entre les Parties
Les Parties aux présentes sont juridiquement indépendantes l’une de l’autre. Chaque Partie agit en son nom propre et pour son compte. Ni la Société ni les Publieurs ni les Administrateurs et/ou les Modérateurs ne pourront se réclamer des dispositions des présentes pour revendiquer, en aucune manière, la qualité d’agent, de représentant ou d’employé de l’autre, ni engager celui ou celle-ci à l’égard de tiers, au-delà des Services prévus par les dispositions des présentes. Aux termes des présentes, il n’est pas formé de structure juridique particulière entre la Société et/ou le Publieur et/ou l’Administrateur et/ou le Modérateur, chacun conservant son entière autonomie et ses responsabilités.
Chaque Partie demeure responsable de ses actes, allégations, engagements, prestations, produits personnels, données. Aucune ne peut engager la responsabilité de l’autre Partie de quelque manière que ce soit du fait de ses actes, allégations, engagements, prestations, produits personnels, données.
26. Renonciation
Le fait pour l’une des Parties de ne pas avoir exercé un quelconque droit ou pouvoir en application des dispositions des présentes Conditions Générales, ou de l’avoir exercé en retard, ne pourra être interprété comme une renonciation à exercer tout ou partie de ce droit ou pouvoir, et tout exercice unique ou partiel de tout droit ou pouvoir ne pourra empêcher une nouvelle mise en œuvre de ce droit ou pouvoir.
27. Force majeure
Aucune des Parties ne pourra être tenue responsable vis-à-vis des autres Parties dans l’hypothèse où l’exécution de ses obligations serait retardée, restreinte ou rendue impossible du fait de la survenance d’un évènement de force majeure. Sont notamment considérées comme cas de force majeure, les hypothèses habituellement reconnues par la jurisprudence et les tribunaux français.
La survenance d’un évènement de force majeure suspendra dans un premier temps l’exécution des Services pendant une durée qui ne pourra être supérieure à trois (3) mois. Dans l’hypothèse où le cas de force majeure se poursuivrait au-delà de la période susvisée, les Parties pourront résilier les présentes Conditions Générales, de plein droit, sans formalité judiciaire, sans préavis et sans droit à indemnités de quelque nature que ce soit, par l’envoi d’une lettre recommandée avec accusé de réception ayant effet immédiat.
28. Nullité
Si l’une quelconque des dispositions des présentes Conditions Générales venait à être déclarée nulle ou non applicable en raison d’une loi, d’un règlement ou à la suite d’une décision définitive rendue par une juridiction compétente, seule cette disposition serait frappée de nullité, les autres dispositions garderont toute leur force et leur portée..
29. Modification des Conditions Générales
La Société se réserve la faculté de modifier à tout moment les présentes Conditions Générales. La Société se réserve notamment la possibilité de modifier et/ou d’arrêter de proposer tout ou partie des Services, à tout moment à sa libre discrétion.
L’Utilisateur sera informé de ces modifications par tout moyen utile, au plus tard [à compléter] jours avant le jour de leur entrée en vigueur. Les Conditions Générales modifiées s’appliqueront immédiatement à la date d’entrée en vigueur.
L’Utilisateur qui n’accepte pas les Conditions Générales modifiées doit se désinscrire des Services avant l’entrée en vigueur desdites Conditions Générales modifiées. Tout Utilisateur qui a recours aux Services postérieurement à l’entrée en vigueur des Conditions Générales modifiées est réputé avoir accepté ces modifications qui lui seront pleinement applicables.
30. Droit applicable et juridiction
Les présentes Conditions Générales sont régies par la loi française.
En cas de contestation sur la validité, l’interprétation et/ou l’exécution des présentes Conditions Générales, les Parties conviennent que les tribunaux de Paris seront exclusivement compétents pour en juger, sauf règles impératives contraires.
Il est précisé que l’Usager, lorsqu’il utilise les Services à des fins personnelles qui n’entrent pas dans le cadre de son activité professionnelle, peut saisir soit l’une des juridictions territorialement compétentes en vertu du Code de procédure civile, soit la juridiction du lieu où il demeurait au moment de l’ouverture de son compte sur la Plateforme ou de la survenance du fait dommageable, conformément aux dispositions de l’article R.631-3 du Code de la consommation.

General terms and conditions of use of the services
1. Object
Cro-magnon operates an online platform from the website accessible at the following address: www.cro-magnon.org (hereinafter the « Platform »), through which it makes available to professional or private users (hereinafter the « Users ») a library of medical knowledge consisting of content produced and/or compiled by professionals in the medical sector and placed online on the Platform by the latter (hereinafter the « Publishers »).
Users and Publishers are hereinafter referred to together or individually as a « User ». The Company and the User are hereinafter referred to together or individually as a « Party ».
The purpose of these general terms and conditions (hereinafter the « General Terms and Conditions ») is to set out the terms and conditions for the provision to Users of services for accessing the Platform, consulting the library and/or publishing content on the said Platform (hereinafter the « Services »), and to define the rights and obligations of the Parties in this context.
They express the entire agreement of the Parties and cancel and replace any previous agreement, letter, offer or other written or oral document with the same purpose. They can be accessed and printed at any time via a direct link on the Platform homepage.
2. Platform operator
The Platform and the Services are operated by Cromagnon, a simplified joint stock company, registered in the Toulouse Trade and Companies Register under number B879 479 806, whose registered office is located at 16B rue Mespoul - 31 400 Toulouse (hereinafter the « Company »).

3. Acceptance of the General Terms and Conditions
By registering for the Services under the conditions set out below in the article « Access to Services » or by using the Services made available on the Platform, the User declares that he/she has read these General Terms and Conditions and expressly accepts them.
This acceptance can only be full and complete, without modification of any kind. Any conditional acceptance is considered null and void. Users who do not agree to be bound by these General Terms and Conditions must not use the Services or access the Platform.
4. Access to Services
The Platform and the Services are accessible to any natural person who has full legal capacity to enter into commitments under these General Terms and Conditions. Users who do not have full legal capacity may only access the Platform and Services with the express agreement of their legal representative.
Access to the Services is reserved :
- For Services reserved for Users : to any natural person or legal entity, as part of their professional activity, in the healthcare sector or otherwise, or privately outside any professional activity. The User acknowledges and accepts, however, that access to certain content may be reserved solely for professional Users working in the healthcare sector, under the conditions detailed below.
- For Services reserved for Publishers : only natural persons carrying out a professional activity in the medical sector, understood as all activities carried out in public and private hospitals, medical, dental and paramedical practices and medical analysis laboratories.
5. Registering on the Platform
All Users have free access to the Services reserved for them directly on the Platform, without restriction, subject to the reservations below, without the need to open a personal account on the said Platform. Users access the Services anonymously, unless they are also Publishers. In this case, they may also log into their Account to access the Services reserved for Users.
Any Publisher wishing to publish content on the Platform to make it available to Users must open an account with the Company on the Platform in accordance with the procedure described below in order to benefit from the Services (hereinafter the « Account »).
Therefore, to access the Services dedicated to them, Publishers must :
- fill in an initial registration form with all the required information, in particular their first and last names, profession and email address ;
- upload all the supporting documents requested by the Company to enable it to verify their status as a healthcare professional ;
- choose a password. Once their Account has been validated, Publishers can change their password at any time, in the « Password » tab of their Account. It is recommended that you change your password regularly. The Publisher acknowledges and accepts that the email address provided on the registration form constitutes his/her connection identifier ;
- tick the « I have read and accept the general terms and conditions of use of the services » box on the registration page.
- tick the « I accept the collection of my data » box on the registration page.
The Company will send the Publisher an e-mail containing an Internet link for activating the Publisher's Account, which the Publisher must click on to confirm the creation of the Account. If they fail to do so, they acknowledge and accept that they will not be able to access the Services.
The Advertiser acknowledges and accepts that final validation of his Account is subject to receipt of all the supporting documents requested and verification by the Company that the Advertiser is a healthcare professional and that the documents sent are true. In particular, the Company reserves the right, at its own discretion, to request any additional documents before validating the opening of the Account.
Within a few days, the Company will send the Publisher an email confirming whether or not their Account has been validated and activated. The Publisher acknowledges and accepts that the Company reserves the right to refuse to open an Account for any reason, and in particular if there is any doubt as to the validity of the documents sent.
The Company reserves the right, at any time after the Account has been opened, to carry out any verification process it deems useful, particularly with regard to the Publisher's e-mail address, identity and contact details.
All Publishers warrant to the Company that the information provided on the registration form is accurate and not misleading. In particular, the Advertiser undertakes to provide a valid e-mail address and supporting documents that are not falsified. The Publisher undertakes to inform the Company without delay of any change in the said information at the contact address indicated in the « Platform Operator » article herein.
The Publisher acknowledges and accepts that the information entered for the purposes of creating or updating his/her Account is proof of his/her identity.
6. Strictly personal use
Only one Account may be created per Publisher. The user of the Services is deemed to be the person whose personal information corresponds to that provided on the registration form, to the exclusion of any other third party.
The Publisher therefore undertakes to use the Services personally, and not to allow any third party to use them in its place or on its own behalf, including another User of the Services, unless it bears full responsibility. Where the Account is opened on behalf of a legal entity, it may only be operated by the person whose personal details correspond to those provided when registering for the Services and/or by any person expressly authorised by the Advertiser on the basis of their login details, which the User expressly acknowledges and accepts.
Publishers are also responsible for maintaining the confidentiality of their login and password and expressly acknowledge that any use of the Services from their Account will be deemed to have been made by them.
In the event that the Publisher notices that its Account is being or has been used without its knowledge, it undertakes to notify the Company as soon as possible, at the address indicated in the « Platform Operator » article.
7. Non-commercial use
The User undertakes not to monetise, sell, grant, exchange or, more generally, negotiate all or part of the access to the Services, whatever they may be, to the Platform servers, as well as to the information and/or texts, images and other content used by the Company and/or any other User on the Platform as part of the use of the Services.
8. Duration
These General Terms and Conditions apply throughout the period of use of the Services by the User.
9. Description of Services
The User has access to the following Services in the form and using the technical means that the Company deems most appropriate.
9.1. Access to a library of medical knowledge
The Company provides Users with a library of medical knowledge freely accessible on the Platform (hereinafter the « Library »). The Library consists of scientific content on any topic in the medical sector, without limitation of any kind, in any form whatsoever (text file in .pdf or .txt or .word or .ppt format in particular, video, photograph, animation, hypertext link, etc.) and regardless of the date of first publication of said content (hereinafter the « Content »).
Content is classified by theme, author, year and/or any other classification criterion that the Company deems relevant, at its discretion. Users can search for Content directly by keyword or by classification criterion using the search engine provided on the Platform. They access the selected Content by clicking on the name of the Content.
The User has access to all of the Content made available in the Bookshop, subject to prior validation by a moderator under the conditions detailed below. Nevertheless, the User acknowledges and accepts that the Publisher is free to restrict access to its Content to certain categories of User and to make such access subject to the User's declaration of status.
The User may view the Content directly on the Platform. They may not download said Content or extract it from the Platform in any way.
The User acknowledges that he/she has been informed that the Content is made available on the Platform by the Publishers, freely, under the conditions detailed below. The User acknowledges that the Company does not control the scientific quality of the Content, nor its medical relevance and/or suitability for the User's needs. The Company's role is limited to making the said Content technically available in the Bookshop.
The User further acknowledges and accepts that the Content is made available for the purposes of general information and increasing knowledge and is not a substitute for medical consultation by a health professional. Finally, the User acknowledges that the Content presents the author's own opinion or doctrine and is in no way binding on the Company. The User acknowledges that it is up to him/her to interpret and/or use the information set out in the said Content in any way he/she sees fit, without the Company being held liable.
The User acknowledges and accepts that the Bookshop is not intended to present all existing sources in the medical field and cannot be exhaustive. In particular, the Company does not guarantee that the User will find Content corresponding to his/her needs and/or expectations.
9.2. Publication of Content on the Platform
Only Publishers who have validly opened an Account on the Platform may publish Content in the Bookshop. A User who does not qualify as a Publisher may not publish on the Platform.
9.2.1. Nature of the Content published on the Platform
The Publisher acknowledges and accepts that it may publish any type of Content, provided that it deals with a theme related to the medical sector, whether it is Content of its own making or Third Party Content.
He undertakes to publish only Content for which he validly holds the rights of reproduction and representation by publication for the purposes hereof. It acknowledges that the Content is published under its sole responsibility. In this respect, it also undertakes to publish in the Bookshop only Content in which the practices, data, information, processes or any other elements displayed comply with the recommendations of learned societies in the relevant field of the theme covered by the said Content.
The Publisher acknowledges that only Content saved in one of the formats compatible with the Platform, as indicated in the Platform's technical documentation, may be published in the Bookshop. It is the responsibility of the Publisher to take all necessary steps to ensure that the Content is in the correct format for publication, without compromising the integrity or original quality of the Content.
The Publisher acknowledges that the publication of Content is subject to a prior validation procedure as detailed below.
9.2.2. Creation of working groups
Publishers are grouped into working groups on a specific topic in the medical sector (hereinafter the « Working Group »). Any Publisher may decide to create a Working Group by using the « create a Working Group » function in its Account, detailing the research topics that will be the subject of the said Working Group. The creation of a Working Group is subject to prior validation by the Company and/or any third party appointed by the Company to carry it out. The Company assesses the relevance of the purpose of the Working Group and the professional legitimacy of the Publisher requesting the creation of the Working Group. It remains free to approve or reject the creation of the said Working Group.
If the creation request is validated, the Publisher at the origin of the request is notified of the creation of the Working Group by any means deemed useful. The Company provides a dedicated space in the Bookshop for the publication of Content related to the purpose of the Working Group, in which all the Content published by the members of the Working Group is grouped together and listed.
The Publisher who creates a Workgroup is appointed Workgroup Administrator (hereinafter « Administrator »). The Administrator may appoint one or more other Administrators at his or her discretion.
The Working Group is organised around three categories of members, with varying degrees of authority. The categories are :
- The Administrators, who have the broadest powers and are responsible for :
- Define the topics for discussion, the types of Content and the type of Content that can be published within the framework of the Working Group;
- Accepting the registration of a Publisher on the Working Group and/or de-registering a Publisher from a Working Group;
- Designate the members of the Working Group who will assume the role of moderator of the Content submitted for publication in the Working Group (hereinafter the « Moderator »).
- The Moderators, who have the following powers:
- Validate Content before publication in the Bookshop. It is expressly understood that the validation of Content is limited to formal technical moderation involving verification that said Content falls within the themes dealt with by the Working Group, correction of the title of the Content, key words, and corrections of form. The Moderator does not check that the Publisher has obtained the rights to publish the said Content, or that the Content is scientifically accurate.
- Report behaviour deemed inappropriate by a Publisher and delete Content.
- Accepted Publishers, who may only submit Content for publication.
9.2.3. Procédure de publication d’un Contenu
The Publisher acknowledges that it must belong to a Working Group or create a Working Group in order to publish Content in the Bookshop and make it accessible to Users. A Publisher who does not belong to a Working Group may only publish Content in the Bookshop with the mention « unmoderated publication ». The Content will not be attached to any Working Group and will be available only to other Publishers in the Bookshop, to the exclusion of all nonPublisher Users.
The Publisher acknowledges and accepts that its membership of a Working Group is validated by one of the Administrators of the said Working Group, at its free choice, with regard to its objective professional qualities (title, speciality, certificate).
Once a member of a Working Group, the Publisher acknowledges and accepts that it may only propose Content for publication that is related to the purpose of the Working Group. The Publisher must join as many Working Groups as necessary, depending on the themes it wishes to address through the Content it wishes to publish.
The Content is submitted to the Moderators of the Working Group prior to its publication in the Bookshop. The Publisher acknowledges and accepts that the Moderator remains free to refuse publication of the Content for any reason related to its task of technical moderation of the Content. In such a case, the Publisher may publish its Content with the mention « unmoderated publication » or propose publication in another Workgroup. The Publisher agrees to make any changes requested by the Moderator for publication purposes.
The Publisher acknowledges and accepts that Content that has been approved for publication will be published in the Bookshop for the duration set out in the Content use licence below. However, the Publisher acknowledges and accepts that Content may be removed from the Bookshop at any time by a Working Group Mediator.
9.3. Technical assistance
The Company offers all Users technical support accessible by email at the following address: supp.cromagnon@gmail.com.
9.4. Other Services
The Company reserves the right to offer any other Service, in a form and according to the functionalities and technical means it deems most appropriate for providing said Services.
In particular, the Company reserves the right to offer the User any other paying service, at its own discretion.
10. Financial terms and conditions
The Services are provided to all Users free of charge.
11. Hosting
The Company undertakes to ensure, under the terms of an obligation of means, the hosting of Accounts and Content in accordance with the practices of the profession and the state of the art, on its own servers or by a professional hosting service provider operating in accordance with the practices of the profession and the state of the art.
In this context, the Company undertakes to provide the User with sufficient storage and processing capacity as part of the Services, in accordance with industry practice and the state of the art.
The Company undertakes to implement all the technical means, in line with the state of the art, necessary to ensure security and access to the Services, covering the protection and monitoring of infrastructures, the control of physical and/or intangible access to said infrastructures, and the implementation of detection, prevention and recovery measures to protect servers from malicious acts.
The Company also undertakes to take all necessary precautions, in view of the nature of the data and the risks presented by the automated data processing implemented for the purposes of the Services, to protect the security of the data, and in particular to prevent it from being distorted, damaged or accessed by unauthorised third parties.
12. Service level guarantee
The Company undertakes to ensure the permanence, continuity and quality of access to the Services for as long as the Account is open.
In this respect, the Company will use its best efforts to maintain access to the Platform 24 hours a day, 7 days a week and to guarantee 97% availability of the Services, except in cases of force majeure.
In addition, given the complexity of the Internet, the uneven capacity of the various sub-networks, the influx at certain times and the various bottlenecks over which the Company has no control, the Company's liability will be limited to the operation of its servers, the outer limits of which are constituted by the connection points.
The Company cannot be held responsible for (i) access speeds to its servers, (ii) slowdowns external to its servers, and (iii) poor transmissions due to a failure or malfunction of these networks.
If necessary, the Company reserves the right to limit or suspend access to the Platform in order to carry out any maintenance and/or improvement operations. In this event, the Company undertakes to inform the User in advance by any useful means of these maintenance and/or improvement operations. In this event, the Company undertakes to inform the User at least 24 hours in advance, by any useful means and in particular by a general information message on the Platform's home page, of these maintenance operations. The Company will do its utmost to ensure that said maintenance operations do not exceed 8 hours and are carried out outside working hours, i.e. Monday to Friday from 8am to 7pm, Paris time, France.
As part of these maintenance and/or development operations, the Company undertakes to make its best efforts to back up the content stored on Users' Accounts.
The User acknowledges and accepts that this service level guarantee does not cover any breakdown or interruption of the Services caused by telecoms operators or Internet and mobile web access providers.
In any event, it is expressly agreed between the Parties that the breach of any of the undertakings set out in this Article may under no circumstances be sanctioned by the termination of the General Terms and Conditions and its liability will be limited under the conditions set out below in the Article « Liability ».
13. Intellectual property rights
13.1. Intellectual property principles
The systems, software, platforms, APIs, software components, structures, infrastructures, databases, in particular the Library, data, codes, algorithms and content of any kind (text, images, logos, brands, data, etc.) published and used by the Company as part of the Services are the full and entire property of the Company, whether or not they are protected by an intellectual property right.
Similarly, Content published by a Publisher and made available to Users in the Bookshop remains the full property of its author. Any claim relating to Content published by a Publisher shall be addressed exclusively to the Publisher.
These Terms and Conditions do not confer on Users any ownership rights of any kind whatsoever, in particular intellectual or industrial property rights, over the Platform, the Bookshop, the Services and/or the Content.
All Users are granted a simple licence to use the Platform and the Bookshop, as well as the Content, under the conditions set out below.
The User undertakes not to commit any act that might affect the Company's property rights, in particular intellectual property rights, in the Platform, the Bookshop and the Services, or the property rights, in particular intellectual property rights, of a Publisher or the author of Content in the Content, in whole or in part, whether by reproduction, representation, adaptation, modification or transformation. Any use and/or access not authorised by the Company and/or by a Publisher under these terms and conditions and/or not complying with the provisions of the French Intellectual Property Code is unlawful and will give rise to legal proceedings, in particular on the grounds of infringement in accordance with the provisions of article L.335-3 of the French Intellectual Property Code. In particular, any disassembly, decompilation, decryption, extraction, re-use or copying of the elements referred to herein is strictly prohibited.
13.2. Library user licence
The Company grants the User, for the entire duration of these General Terms and Conditions and for the entire world, the non-exclusive, personal and non-transferable right to use the Platform, the Bookshop and the Services, in their version existing on the day these General Terms and Conditions are signed, as well as any future versions, as well as their technical documentation, for the sole purpose of the Services, under the conditions set out herein.
In particular, the Company authorises the User to consult the Content directly on the Platform, without the User being able to extract, by permanent or temporary transfer, and/or re-use said Content by any other means, for any reason whatsoever.
The User expressly undertakes not to make any other use of the Platform, the Bookshop, the Content and the Services, and in particular undertakes not to reproduce, arrange, adapt the Platform, the Bookshop, the Content and/or the Services, make them available to third parties, create any derivative work of all or part of the Platform and/or the Bookshop and/or its Services, market them or offer them for hire, subject to the proviso below.
13.3. Licence to use the Content
The Publisher grants the Company, for the entire duration of copyright protection and for the entire world, free of charge, the non-exclusive, personal and non-transferable right to use the Content, for the sole purpose of insertion and publication in the Bookseller and the provision of the Services, and in particular making it available to Users on the Platform. The Company undertakes not to create any derivative work from all or part of the Content, to market it or to offer it for hire.
The Publisher expressly grants the Company the right to grant user licenses for the Content it has published on the Platform, for the entire duration that said Content is made available on the Platform, for the entire world, to Users of the Platform, for the sole purpose of viewing on the Platform.
In this respect, the User acknowledges that the Company grants him/her a simple right to view the Content, for the duration of its availability, exclusively on the Platform, to the exclusion of any other use.
14. Warranty of eviction
The Company guarantees the User full and peaceful enjoyment of the rights granted under the licence for the Services against any disorder, action, claim or eviction whatsoever. In particular, it guarantees the User (i) that it has all the rights and authorisations necessary to grant the licence provided for herein and that the Company's Services do not contain anything that may fall under the laws and regulations relating in particular to counterfeiting, unfair competition, privacy, image rights, personality rights and more generally contravene the rights of third parties and, (ii) that it has not granted and will not grant to a third party any assignment or licence to use the Services that is likely to prevent or hinder the exercise of the rights held by the Client under licence in respect of the said Services.
The Company guarantees the User against any complaints, claims and/or demands whatsoever on the part of a third party that the User may suffer as a result of the Company's breach of the above guarantees. It undertakes to compensate the User for any prejudice he may suffer and to pay him all the costs, compensation, charges and/or penalties that he may have to bear as a result.
In return, the User undertakes to notify the Company by registered letter with acknowledgement of receipt, as soon as possible after receipt, of any formal notice or summons or request received from a third party. The Parties nevertheless agree that, unless expressly waived, the Company will take control of the defence, as well as any negotiations with a view to a settlement.
The User acknowledges and accepts that this warranty does not apply where the third party's claim arises, even partially, from any use of the Services that does not comply with the provisions of the licence as set out herein.
In the same terms, the Publisher guarantees the Company and the Moderators and Administrators of the various Working Groups of which it is a member that it has all the rights and authorisations of any nature whatsoever necessary to publish the Content in the Bookshop and to give Users access to it for the entire duration of copyright protection. The Publisher guarantees the Company and the Moderators and Administrators of the various Working Groups of which it is a member that the Content does not contain anything that could fall under the laws and regulations relating in particular to counterfeiting, unfair competition, privacy, image rights, personality rights and more generally contravene the rights of third parties.
The Company and the Moderators and Administrators of the various Working Groups of which it is a member may under no circumstances be held liable for the consequences of any breach of this clause.
The Publisher indemnifies the Company and the Moderators and Administrators of the various Workgroups of which it is a member against any complaints, claims and/or demands whatsoever on the part of a third party that the Company and/or the Moderators and/or Administrators of the various Workgroups of which it is a member may suffer as a result of the Publisher's breach of the above guarantees. The Publisher undertakes to compensate the Company and/or the Moderators and/or Administrators of the various Working Groups of which it is a member for any prejudice they may suffer and to pay them all costs, compensation, charges and/or penalties they may have to bear as a result.
15. Obligations of the User
Without prejudice to the other obligations set out herein, the User undertakes to comply with the following obligations.
(i) The User undertakes, when using the Services, to comply with the laws and regulations in force and not to infringe the rights of third parties or public order. In particular, the User undertakes not to use the Services:
- For any activity that is illegal, fraudulent or infringes the rights or security of third parties, including the development of any application that infringes the rights of a third party or any other applicable law or regulation.
- to transmit to the Company information or content that cannot be communicated or processed by the Company due to laws on the protection of personal data, business secrecy or contractual or legal obligations of confidentiality, export restrictions or other legal provisions or rights of third parties;
- to produce and/or distribute Content that is (i) defamatory, abusive, violent, racist, xenophobic or revisionist, (ii) infringing, (iii) damaging to the image of third parties, (iv) misleading, deceptive or proposing or promoting illegal, fraudulent or deceptive activities, (v) content harmful to the computer systems of third parties (such as viruses, worms, Trojan horses, etc), and (vi) more generally, any content likely to infringe public order and/or the rights of third parties or to be prejudicial to third parties, in any way and in any form whatsoever.
In this respect, the User undertakes to hold all the rights and authorisations required for the publication and/or re-use of the Content, and in particular all intellectual property rights. He/she undertakes to ensure that said Content is lawful and in no way likely to give rise to civil or criminal liability on the part of the Company. - To assist or incite, in any form and in any manner whatsoever, one or more of the acts and activities described above.
(ii) The User undertakes to use the Services solely for the purposes set out herein and in compliance with the applicable laws, and in particular :
- Not to copy and/or misappropriate for their own purposes or those of third parties the concept, technologies or any other element of the Platform.
- Not to use the Services to develop Services and products similar to those developed by the Company.
- Also prohibited are:
- any behaviour likely to interrupt, suspend, slow down or prevent the continuity of the Services,
- any intrusions or attempted intrusions into the Company's systems,
- any misappropriation of the Platform's system resources,
- any actions of such a nature as to impose a disproportionate burden on the infrastructures of the latter,
- any breach of security and authentication measures,
- any action likely to prejudice the financial, commercial or moral rights and interests of the Company, and more generally any breach of these General Terms and Conditions
(iii) The User acknowledges that he is solely responsible for his use of the Services. In particular, the User is solely responsible for the proper completion of all administrative, tax and/or social formalities and for all payments of contributions, taxes or duties of any kind that may be incumbent upon the User in connection with his/her use of the Services.
(iv) The User acknowledges that he/she is aware of the characteristics and constraints, particularly technical, of the Platform and all the Services.
(v) The User undertakes to provide the Company with all documents, elements, data and information necessary for the proper performance of the Services. More generally, the User undertakes to cooperate actively with the Company with a view to the proper performance hereof and to inform it of any difficulties arising in connection with such performance.
(vi) The User is informed and accepts that in order to use the Services, he/she must be connected to the Internet and that the quality of the Services depends directly on this connection, for which he/she is solely responsible.
(vii) Finally, the User acknowledges that the Services offer an additional, alternative purchasing and selling solution and that this solution is not a substitute for other means that the User may have at his disposal to achieve the same objective.
16. Complaints
In the event of an act prejudicial to a User committed by another User as part of the Services, the User may send a complaint to the Company by post or by email to the contact details given in the « Platform Operator » article, after first seeking an amicable solution.
The complaint must include the date of notification, the identity of the complainant (surname, first name, profession, place of residence, nationality, date and place of birth), the identifier of the User causing the damage, a description of the facts in dispute accompanied, where applicable, by a link to the web page providing proof, and a copy of the correspondence sent to the perpetrator of the infringement seeking an amicable solution.
The Company will be free to take all appropriate measures, without any obligation on its part, and/or to forward this complaint to the competent authorities.
Users shall be personally responsible for any action they may bring before any court against another User for damage suffered as a result.
17. Confidentiality
Users shall be personally responsible for any action they may bring before any court against another User for damage suffered as a result.
18. Unsubscribe
18.1. Closing an account
Any User may unsubscribe from the Services at any time and terminate these General Terms and Conditions, without having to justify their decision, provided that they notify the Company by any means deemed useful and in particular by using the button provided for this purpose on their Account.
Unsubscription takes effect within a maximum of forty-eight (48) hours from the date of the request for unsubscription.
18.2. Termination for default
In the event of the User failing to fulfil any of his obligations under these General Terms and Conditions, which is not remedied within thirty (30) calendar days of receipt of formal notice to remedy the said failure, the Company may, ipso jure and without legal formalities, terminate these General Terms and Conditions and close his Account.
Termination hereof shall be without prejudice to any damages to which the Company may be entitled as a result of the User's breach and to any penalties that may be due to the User.
18.3. Consequences of the end of Services
The User acknowledges and accepts that the termination of the Services, for whatever reason, will result in the deactivation of the User's Account, which will then no longer be accessible to the User. The User is responsible for recovering the data stored in his/her Account on the medium and in the format of his/her choice, which he/she acknowledges and accepts.
Except in the event of termination for breach, the User may reactivate his/her Account by logging on with his/her password via the Platform, at any time for a period of three (3) years from the deactivation of his/her Account. After this period of three (3) years, the User's Account will be definitively closed, and the data collected by the Company at the time of registration, as well as the information stored in the Personal Space, will be destroyed, in accordance with the provisions of Act no. 78-17 of 6 January 1978 on Data Processing, Data Files and Individual Liberties, as amended.
The User expressly acknowledges that the Company may under no circumstances be held liable for any loss or alteration of the information stored in his/her Account, which occurs after his/her Account has been deactivated, regardless of the cause, and in particular as a result of maintenance and/or updating operations on the Platform.
Furthermore, the Publisher acknowledges and accepts that the closure of its Account, for whatever reason, will have no consequence on the authorisation to publish Content in the Bookshop granted to the Company, which will remain in force until the end of the copyright protection of the said Content.
19. Prohibited behaviour
It is strictly forbidden to use the Services for the following purposes:
- carrying out illegal or fraudulent activities or activities that infringe the rights or safety of third parties,
- undermining public order or violating applicable laws and regulations,
- intrusion into a third party's computer system or any activity of a nature to harm, control, interfere with or intercept all or part of a third party's computer system, or to violate its integrity or security,
- aiding or inciting, in any form and in any manner whatsoever, one or more of the acts and activities described above,
- and, more generally, any practice that misuses the Services for purposes other than those for which they were designed.
All Users are strictly forbidden to copy and/or misappropriate for their own purposes or those of third parties the concept, technologies or any other element of the Platform, particularly the Content.
The following are also strictly prohibited (i) any behaviour likely to interrupt, suspend, slow down or prevent the continuity of the Services, (ii) any intrusions or attempted intrusions into the Company's systems, (iii) any misappropriation of the Platform's system resources, (iv) any actions likely to impose a disproportionate burden on the latter's infrastructures, (v) any breach of security and authentication measures, (vi) any act likely to prejudice the financial, commercial or moral rights and interests of the Company, and more generally (vii) any breach of these General Terms and Conditions.
20. Penalties for breaches
In the event of a breach of any of the provisions of these General Terms and Conditions or, more generally, a breach of laws and regulations by the User, the Company reserves the right to :
- (i) temporarily or definitively suspend, without delay, access to the Services of the User who is the perpetrator of the breach or infringement, or who has participated in it, and in particular, in the event that incorrect, incomplete, misleading or out-of-date information is provided at the time of registration,
- (ii) remove any content relating to the breach or offence in question, in whole or in part,
- (iii) take all appropriate measures and take any legal action,
- (iv) if necessary, notify the competent authorities, cooperate with them and provide them with any information that may be useful in investigating and punishing illegal or illicit activities.
In the event that the User fails to fulfil an essential obligation arising from these General Terms and Conditions, or breaches them repeatedly, the Company reserves the right to terminate the User's access to all or part of the Services, with immediate effect, by e-mail. Termination will take effect automatically on the date of dispatch by the Company of the written notice sent to the User in application of this clause. It will automatically and without prior notice result in the deletion of the User's Account, without prejudice to any other consequences that may arise in application of these General Terms and Conditions.
21. Exclusion of liability and guarantee by the Company
The Company undertakes to provide the Services diligently and in accordance with the state of the art, it being specified that it has an obligation of means, to the exclusion of any obligation of result, which the User expressly acknowledges and accepts.
The User acknowledges that the Company's involvement is limited to the provision of Services, understood as the provision to Users of tools and technical means enabling them to publish and access Content via the Platform. The Company has no knowledge of the Content published in the Bookshop in the context hereof, on which it does not carry out any moderation, selection, verification or control of any kind and in respect of which it acts only as a hosting provider for the time necessary for the performance of the Services. Consequently, the Company cannot be held responsible for said Content.
Accordingly, the User acknowledges that the Company is not liable to the User for any guarantee as to the number and diversity of Contents made available in the Bookshop. Furthermore, the Company provides no guarantee that the Content complies with the laws and regulations in force or with the recommendations of learned societies. The Company therefore accepts no liability for the quality of the Content.
The Publisher acknowledges and accepts that it publishes the Content under its sole responsibility and under the guarantees provided herein. The User undertakes to act directly and exclusively against the Publisher for any claim relating to Content.
Furthermore, the Company does not guarantee the User that :
- The Services, which are subject to constant research to improve their performance and progress, will be totally free of defects, errors or faults;
- As the Services are standard and are not offered solely for the User's personal use, they will specifically meet the User's needs and expectations.
Subject to these reservations, the Company may be held liable under the conditions of common law solely for direct damage suffered by the User, resulting from a breach of its contractual obligations as defined herein.
In no event will the Company be liable to the User for payment of any damages whatsoever, whether direct or indirect, material, financial or moral, as a result of the User's use of the Services and the Platform.
22. Personal data
The Company has a personal data protection policy, the characteristics of which are set out in the document entitled « Privacy policy », which can be accessed on the Platform's home page and which the User is expressly invited to read.
In particular, the Company declares that it complies with all the legal and regulatory obligations incumbent upon it with regard to the protection of personal data, in particular in order to guarantee the security and confidentiality of the data collected and processed.
The Company is in no way responsible for any processing of personal data carried out by a User in respect of the said User's activities, carried out via the Platform and to which the Company is totally unrelated. It is the responsibility of all Users, where applicable, to comply with all the regulatory obligations incumbent upon them in this respect.
23. Commercial references
The Company is the sole owner of its names, trademarks, logos, signs and designs.
All Users undertake to respect the Company's intellectual property rights over its distinctive signs and, in particular, to refrain from creating any analogy and/or confusion in the mind of the public for any purpose whatsoever and by any means whatsoever; in particular, Users undertake not to :
- use the name of the Company and/or the Platform in its name or in any other commercial name or company name without limitation;
- register or cause to be registered, during the term and after the end of the contractual relationship between the Parties, any trademark, name, logo, sign or design used by the Company.
These Terms and Conditions therefore do not imply any transfer of intellectual property rights held by the Company on its distinctive signs to the User, which the User expressly acknowledges under the terms of these Terms and Conditions.
24. Links and third party sites
Under no circumstances may the Company be held responsible for the technical availability of websites operated by third parties (including any partners) which the User may access via the Platform.
The Company accepts no responsibility for the content, advertising, products and/or services available on such third-party sites, which are governed by their own terms of use.
Nor is the Company liable for any transactions between the User and any advertiser, professional or merchant (including any of its partners) to which the User may be directed via the Platform, and the Company shall under no circumstances be a party to any disputes whatsoever with such third parties concerning, in particular, the delivery of products and/or services, guarantees, declarations and any other obligations whatsoever to which such third parties are bound.
25. Independence between the Parties
The Parties hereto are legally independent of each other. of each other. Each Party acts in its own name and on its own behalf. Neither the Company, the Publishers, the Administrators and/or the Moderators shall not be entitled to claim, in any way whatsoever, the status of agent, representative or the capacity of agent, representative or employee of the other, nor bind him or her third parties, beyond the Services provided for in the provisions hereof. hereof. Under the terms hereof, no particular legal structure is between the Company and/or the Publisher and/or the Administrator and/or the Moderator. and/or the Moderator, each retaining full autonomy and responsibility.
Each Party remains responsible for its acts, allegations, commitments, services, personal products and data. Neither Party may hold the other Party liable in any way whatsoever for its acts, allegations, undertakings, services, personal products or data.
26. Waiver
The fact that one of the Parties has not exercised any right or power in application of the provisions of these General Terms and Conditions, or has exercised it late, may not be interpreted as a waiver of the right to exercise all or part of that right or power, and any single or partial exercise of any right or power may not prevent a new exercise of that right or power.
27. Force majeure
Neither of the Parties may be held liable vis-à-vis the other Parties in the event that the performance of its obligations is delayed, restricted or rendered impossible due to the occurrence of an event of force majeure. In particular, cases of force majeure are those usually recognised by French courts and jurisprudence.
The occurrence of an event of force majeure will initially suspend performance of the Services for a period of no more than three (3) months. In the event that the case of force majeure continues beyond the aforementioned period, the Parties may terminate these General Terms and Conditions, ipso jure, without legal formalities, without notice and without entitlement to compensation of any kind whatsoever, by sending a registered letter with acknowledgement of receipt with immediate effect.
28. Nullity
If any of the provisions of these General Terms and Conditions were to be declared null and void or inapplicable by reason of a law, regulation or following a final decision handed down by a competent court, only that provision would be rendered null and void, and the other provisions would retain all their force and scope.
29. Modification of the General Terms and Conditions
The Company reserves the right to modify these General Terms and Conditions at any time. In particular, the Company reserves the right to modify and/or stop offering all or part of the Services at any time at its own discretion.
The User will be informed of these modifications by any useful means, no later than [to be completed] days before the date on which they come into force. The modified General Terms and Conditions will apply immediately on the date they come into force.
Any User who does not accept the amended General Terms and Conditions must unsubscribe from the Services before the amended General Terms and Conditions come into force. Any User who uses the Services after the entry into force of the modified General Terms and Conditions is deemed to have accepted these modifications, which will be fully applicable to him/her.
30. Applicable law and jurisdiction
These General Terms and Conditions are governed by French law.
In the event of any dispute concerning the validity, interpretation and/or performance of these General Terms and Conditions, the Parties agree that the courts of Paris shall have exclusive jurisdiction, unless mandatory rules state otherwise.
It is specified that the User, when using the Services for personal purposes that do not fall within the scope of his professional activity, may bring the matter either before one of the territorially competent courts under the Code of Civil Procedure, or before the court for the place where he resided when he opened his account on the Platform or when the harmful event occurred, in accordance with the provisions of article R.631-3 of the Consumer Code.
31. Entry into force
These General Terms and Conditions came into force on 07/05/2023.
